Terms of Service

By creating an account or using qlilp (“Service”) you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

qlilp is a cloud-based organization management platform that provides tools for member management, event scheduling, service planning, group communication, financial tracking, and related features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use qlilp you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and accept responsibility for all activity under your account.
• Promptly notify us of any unauthorized use of your account.
• Not share your login credentials with unauthorized parties.

Accounts are for organizations based in the United States. Access from other jurisdictions is not currently supported.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Send unsolicited or unauthorized bulk communications (spam).
• Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.

qlilp enables organizations to send email and SMS communications to their members. As an organization using these features, you agree to:

• Obtain proper consent from recipients before sending communications.
• Honor opt-out requests promptly (within 10 business days for email; immediately for SMS STOP keywords).
• Not send communications to addresses or numbers on our suppression list.
• Comply with all applicable laws, including the CAN-SPAM Act and the Telephone Consumer Protection Act (TCPA).

Failure to comply with these messaging obligations may result in immediate suspension of messaging features or termination of your account.

Certain features of qlilp require payment. By providing payment information you authorize us to charge the applicable fees to your payment method. All fees are stated in US dollars and are non-refundable except as required by law or as explicitly stated in a separate agreement.

Payment processing is handled by Stripe, Inc. Your use of Stripe is subject to Stripe’s Connected Account Agreement. We are not responsible for errors or failures by Stripe.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you submit to qlilp (“Your Data”). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Data solely as necessary to provide the Service to you.

We implement reasonable administrative, technical, and physical safeguards to protect Your Data. You are responsible for the accuracy and legality of the data you upload.

The Service and its original content, features, and functionality are and will remain the exclusive property of qlilp and its licensors. Our trademarks may not be used in connection with any product or service without the prior written consent of qlilp.

The Service may contain links to or integrations with third-party websites and services that are not owned or controlled by qlilp. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QLILP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

You agree to indemnify, defend, and hold harmless qlilp and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

We may suspend or terminate your access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this page and, where appropriate, by email. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
